EULA - End User License Agreement

SOFTWARE LICENSE AGREEMENT
YOU HAVE NOT PURCHASED THIS PRODUCT. WE ARE OFFERING YOU A LICENSE TO USE IT. THIS PAGE CONTAINS OUR PROPOSED LICENSE AGREEMENT, AND YOUR ACT OF INSTALLING THE PRODUCT IS YOUR ACCEPTANCE OF ITS TERMS.

Products: Software, by which we mean the computer program and documentation that are part of this installation file, including any updates to it which we may later provide to you, any backup copies made, and other materials included in the file.
Terms: This license agreement is effective on the effective date which shall be the day you install the software, and shall terminate if and when you breach any term of this agreement, if you return the products to Computer Accounting Solutions, or upon the passage of fifty (50) years following the effective date.

The license screen that is displayed when the product starts contains a Renewal Date. Until the end of that date you will be provided with unlimited support via email with CAS. You will have the option of signing up for a support listbot or communicating direct, or both. At the end of that date you will be provided with the opportunity to renew your license for a fee to be determined at that time. If you don't choose to renew you will no longer be able to get support via email and you will no longer be able to update your current product. However, you will still be able to continue using the product you have for the
full length of the term as stated above.

Computer Accounting Solutions' Rights: Although you are being given the right to use these materials by this license, you acknowledge the validity and ownership of the trademarks, tradenames, copyrights and other proprietary rights of Computer Accounting Solutions, as such exist under the laws of the United States. If source code is included in this package, you acknowledge that it is the confidential information of Computer Accounting Solutions and you agree to protect it as such and not to disclose it to anyone in either
whole or part.

Support: As long as your license is active you can get email support direct from CAS. Phone support is also available at an additional fee. All updates and upgrades to the Software are included as long as your license is active.

Your Rights: Computer Accounting Solutions grants you a non-exclusive license only to use the Software within a single company, on the computers owned by that company only, and to copy the Software into machine readable form for back-up purposes only. You may not otherwise copy or use the materials in either whole or part. You may not lend, lease, rent, sub-license or otherwise transfer the materials or your rights under this license. You may not translate, decompile, disassemble or convert the Software into another programming language, or produce derivatives of the Software or other included materials.
There is no limit to the number of computers or programmers that may use a single license as long as all those computers are owned by the same company and all of the programmers work for that same company. If you own multiple companies and plan to do development in each of those companies, you must have a separate copy/license for each company.
That company is the one named in the license screen that is displayed when the product starts.

Limited Warranty and Liability: No dealer, distributor, company or person has been authorized to changed or add to the terms of this agreement, and Computer Accounting Solutions will not be bound by any representation to the contrary. COMPUTER ACCOUNTING SOLUTIONS LICENSES THIS PRODUCT TO YOU "AS IS" AND DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE PROGRAM WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE PRODUCT WILL BE ERROR FREE. Computer Accounting Solutions does warrant that the diskette and printed materials are not defective in workmanship or material for a period of 60 days from the effective date of this agreement. Computer Accounting Solutions will replace any defective product returned during such limited warranty period. THE WARRANTIES AND REMEDIES SET FORTH IN THIS SECTION ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE AND IN NO EVENT SHALL COMPUTER ACCOUNTING SOLUTIONS BE LIABLE FOR ANY LOSS, DAMAGE, OR INJURY OF ANY NATURE, WHETHER DIRECT OR CONSEQUENTIAL, EVEN IF CAUSED BY COMPUTER ACCOUNTING SOLUTIONS NEGLIGENCE OR FOR ANY CLAIM OR DEMAND AGAINST LICENSEE BY ANY PARTY IN CONNECTION WITH OR RESULTING FROM THE LICENSING OR USE OF THE PRODUCTS. COMPUTER ACCOUNTING SOLUTIONS LIABILITY FOR DAMAGES REGARDLESS OF THE FORM OF ACTION SHALL NOT EXCEED THE PURCHASE PRICE OF THIS LICENSE.

Some states do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages so the above exclusion and limitation may not apply to you.
Governing Law: This agreement shall be construed under and governed by the laws of the State of California and the United States of America.
Severability: In the event that any one or more of the provisions or parts of any provisions contained in this Agreement shall for any reason be held to be invalid, illegal, void or otherwise unenforceable in any respect by a court of competent jurisdiction, the same shall not invalidate or otherwise affect any other provision hereof, and this Agreement shall be construed as if such
invalid, illegal, void or unenforceable provisions had never been contained herein.

ONCE THE PRODUCT IS REGISTERED TO YOU, YOU WILL NOT BE ABLE TO RETURN IT TO CAS (OR YOUR DEALER) FOR A REFUND.
